George Zoidze
Mr. George Zoidze holds over 25 years of experience in the investment, merchant banking, and financial services industry. In recent years, Mr. Zoidze, as a consulting professional, worked with companies from a variety of industries to facilitate maturity within their corporate finance, capital markets and investment banking requirements. From 2008 to 2011 he served as Chairman and Member of the Supervising Board of Investbank (Republic of Georgia). He also co-founded a consulting firm, PRIMACAPITAL I.F.C ltd and has advised several M&A deals across the EU in industries like telecom, IT, media and cosmetics. George also served as a CFO and Director of Aurora Acquisition Corp. and as a Director of Accordium Advisory AG, an independent consulting company providing services for SPACs and Capital Pool Companies seeking transactions in the EU.
Mr. Zoidze has four children, resides in Barcelona, Spain with his wife. He attended the Harvard Law School Negotiation Institute; and is fluent in English, Spanish and Georgian.
Todd Heinzl
Currently Chief Executive Officer of The Governance Box Inc. (“GBX”) and The Governance Box LLP (“GBX USA”), companies focused on assisting globally minded companies develop corporate governance policy & a Tier 1 and Tier 2 senior stock exchange listing outcome through a listing event for their shareholders: GBX offers structured and disciplined strategic thought leadership for each company through the development, implementation and adoption of effective corporate strategies.
Mr. Heinzl holds over 35 years of experience in the investment, merchant banking, and financial services industry. In recent years, Mr. Heinzl, as a consulting professional, has integrated governance, a foundational and mandatory component, to the management of the process of listing companies on a senior stock exchange, globally. Sector agnostic Mr. Heinzl works with companies from a variety of industries to facilitate maturity within their stock listings in an orderly, precise, and compliant process. Senior stock exchanges such as NASDAQ Capital Market, NYSE, Euronext, London Stock Exchanges are increasingly demanding and rigorous oversight regarding the listing requirements of the issuers thereby making exchange experience invaluable.
Mr. Heinzl is a member in good standing with the following organizations underpinning corporate governance excellence: Royal Canadian Military Institute (RCMI); Responsible Investing Association (RIA – Toronto, Ontario); Institute of Corporate Directors (ICD – Toronto, Ontario); European Corporate Governance Institute (ECGI – Brussels, Belgium); Singapore Institute of Directors (SID – Singapore); Institute for Mergers & Acquisitions (IMAA – Vienna, Austria)
Mr. Heinzl attended the University of Waterloo. Post University studies Mr. Heinzl earned his designation as a Certified Investment Manager (CIM) from the Canadian Securities Institute and awarded his Fellow of Canadian Securities Institute (FCSI) fellowship designation. Additionally, executive education includes Wharton School of Business – Executive Management Diploma; and Corporate Governance: ESG and Diversity program. In 2022, Mr. Heinzl received the Order of Merit of Savoy (OMS) a dynastic Order of merit named Order of Merit of Savoy – divided like the Order of Saints Maurice and Lazarus.

Jonathan has 30 years of client advisory and fund-raising experience on Wall Street. During that time, Jonathan has been responsible for advising and financing a broad array of emerging growth public and private companies to help achieve their capital market objectives.
Jonathan has a distinguished career with notable investment banks. Recently, Jonathan was Head of Investment Banking at Dawson James Securities, a boutique investment bank raising capital for emerging growth companies with a life sciences focus. Prior to Dawson James, Jonathan was Managing Director, Investment Banking at WestPark Capital.
Previously, Jonathan was a Partner and Head of the Investment Banking practice at Jesup & Lamont Securities, a New York based boutique banking firm. Jonathan was a Managing Director at Prudential Securities Incorporated responsible for the firm’s Real Estate, Energy and Consumer M&A practices. Before joining Prudential Securities, Jonathan was a Director of M&A at Salomon Smith Barney.
Jonathan’s career was further augmented as a consultant at Bain & Co., a top strategic consulting firm based in Boston.
Jonathan graduated summa cum laude with a B.S. in finance from Boston University and received an M.B.A. with distinction from the Harvard Business School.
